Mojo Thoroughbred Holdings, LLC (DBA: Mojo Racing Partners) is accepting Participants for the 2013 Lone Star Park (LSP) Thoroughbred Meet.

This document serves as your expressed interest to participate in a group organized by Mojo Thoroughbred Holdings, LLC that will race the following two Thoroughbreds:

Pelham (LA): Dark Bay Gelding by Proud Citizen out of Model Performer - born April 10, 2009

Alarming Afleet (FL): Bay Gelding by Northern Afleet out of Smoke Alarm - born February 28, 2004

This is a two-horse package for one low price.

I. Understanding

You have read, understand, and asked questions (if necessary) about the Participation Conditions and Participation Understanding.

You agree to the conditions for the Term, Share Price, General Fund, and Distributions.

II. Term

The term for participating in the Mojo 2013 LSP Meet Group begins on April 11, 2013 and ends on July 6, 2013 or if both horses are unable to race prior to the end of the race meet.

If either horse's ability merits racing beyond the term of this agreement, then term may be extended; additional capital contributions will be necessary if you decide to continue (in accordance with each Participant's respective percentage); and a Participation Continuation Document will be issued.

III. Number of Shares

A maximum number of 25 shares will be offered for the Mojo 2013 LSP Meet Group. Each share will be set at 4% per share.

The Mojo Thoroughbred Holdings, LLC (the entity) or its designee retains the right to all of the unsold shares, as well as the respective costs associated with each unsold share.

IV. General Fund

The price for a 4% share is $500 - this is considered a Capital Contribution and these funds will be used to cover the day-to-day expenses of the horses and the general business expenses for Mojo Thoroughbred Holdings, LLC.

Each Participant may be responsible for his or her own personal expenses (including friends and family members) related to owner's licensing and travel/entertainment (e.g., transportation, lodging, shared percentage of party accommodations, food, and/or beverages, etc.).

There will be no refunds of any Capital Contributions—this is to protect the interests of the other Participants.

Should an unexpected personal hardship occur during the term of this partnership, a Participant may request to withdraw from the Group; but that withdrawal has to be submitted in writing to and approved by the Chief Executive Manager (CEM).

If a Participant withdraws, there will be no refund of any Capital Contributions, and the Participant will forfeit all current and future earnings, rights, and benefits of the Group.

V. Distributions

Distributions are contingent upon net purse earnings from future racing activity or if any horse is sold (publically or privately).

If net purse distributions are generated, the distribution percentage is based on each Participant’s share(s) percentage.

If any horse is sold (publicly or privately), any net earnings generated from that sale will be distributed based on each Particpant's share(s) percentage.

Only Participants in good standing who have not wrongfully caused dissolution or have not wrongfully dissociated with Mojo Thoroughbred Holdings, LLC will be eligible for distributions.

Mojo Thoroughbred Holdings, LLC is entitled to, if generated, 5% of any earnings generated by either horse including: purse, claim, auction, private sale, and/or syndication.

In order to participate in the Mojo 2013 LSP Meet Group, each Participant must complete the following items:

1. Place your initial next to each of the five sections (I.-V.) above and fill out the "Participant of Record" information (below) to indicate that you understand and agree to the conditions for this Group.

2. Indicate your payment option.

3. Indicate your method payment. Checks should be made out to: Mojo Racing Partners

4. Mail (or send an e-mail pdf) the completed/signed Participant Document and your payment (or a copy of your credit card payment receipt) to the following address:

Your signed, dated, and returned copy will be kept on file for an indefinite period of time, and your payment will be deposited in the bank utilized by Mojo Thoroughbred Holdings, LLC.
